Praeventus Membership Terms

These Membership Terms govern membership at Praeventus Health and at Family Healthcare of Fairfax, a Praeventus practice. Both are operated by Gladstone PC Mid-Atlantic P.C., doing business as Praeventus Health and as Family Healthcare of Fairfax (the "Practice"). By completing enrollment online or by signing the Membership Enrollment page in the office, you (the "Account Holder") agree to these Terms on behalf of yourself and the members listed on your enrollment.

01 Enrollment and term

Membership is annual. Your membership begins on the Start Date confirmed by the Practice at enrollment and runs for twelve months (a "Membership Year"). It renews automatically for a further Membership Year on each anniversary of your Start Date unless you tell the Practice before the renewal date that you do not wish to renew.

02 Fees and payment

The membership fee is $3,600 per adult per year, which may be paid as $300 per month. Dependents under age 26 are $1,000 per dependent per year. Your total fee is based on the members listed on your enrollment.

You choose your billing frequency at enrollment: annually, semiannually, quarterly, or monthly. The first payment is charged when the Practice confirms your membership, and each following payment is charged automatically at the same interval through the end of the Membership Year. Installment payments are a payment plan for the annual fee, not a month to month membership. You authorize the Practice and its membership billing platform (currently Hint) to charge the payment method you keep on file for these amounts. The Practice may change membership fees with at least 30 days written notice; a fee change takes effect at your next renewal.

03 Household members

Your membership covers the members listed on your enrollment, as updated from time to time. Each covered adult (age 18 or older, including dependents aged 18 to 25) is entitled to the Services and agrees to these Terms; the Practice may ask each adult member for their own acceptance. Children under 18 are covered as dependents, and communication about their care is coordinated through the Account Holder.

04 What membership includes

The following non-covered services, amenities, and benefits (the "Services") are included in the membership fee. They are not covered by Medicare and are not typically covered by other insurance plans.

  • A doctor you can reach. You can call or text the Practice at any time through Spruce, a HIPAA compliant messaging and calling platform. We want to hear from you when you are ill or injured before you consider urgent care or a hospital. For true emergencies, call 911 first.
  • Same day or next business day appointments. With the exception of your executive physical, most visits are available on short notice, including for minor or non-urgent problems.
  • Little or no waiting, longer visits. Visits are scheduled for up to 30 minutes, and the executive physical for 60 to 90 minutes, so there is time to address your questions.
  • The annual executive physical. A 60 to 90 minute visit with your physician, unrelated to any illness or injury, with a panel of more than 60 biomarkers measured and explained and a prevention plan for the year. See Section 05.
  • Specialist coordination. When you need a specialist or surgeon, we help you decide whom to see, arrange the consultation, and send your medical information in advance.
  • Personalized hospital care. If you are hospitalized, we stay involved, advocate on your behalf, and communicate with the hospitalist.
  • Care while traveling or living elsewhere. Whether you are away briefly or live part of the year elsewhere, we are available for consultation and will coordinate with a local physician if you need to be seen.
  • Remote care. If you are in an independent or skilled nursing facility, we communicate with those involved in your care and are available to your family within the provider's scope.
  • Travel medicine consultation. Guidance on recommended inoculations and precautions before you travel.
  • Nutritional guidance, lifestyle, and diabetes programs. Diet, weight, exercise, and long term wellness, including an intensive program for diabetic and pre-diabetic members.
  • In-office blood draws. An outside lab may be recommended in certain cases.
  • Quarterly newsletters on subjects relevant to your health.

The membership fee covers only the Services listed above. Membership does not replace insurance, and you should keep your current coverage. The fee is not covered by any insurance program or by Medicare.

05 The executive physical and biomarkers

Each Membership Year you are entitled to one executive physical: a 60 to 90 minute visit with your physician that includes a thorough examination, review of your history and goals, and a panel of more than 60 biomarkers selected for your age, health status, and risk factors. Your physician uses the results to build a prevention plan for the year and may retest specific values during the year.

The executive physical is billed to your insurance as an office visit, and a copay may apply. A subset of the biomarkers in your panel may also be submitted to your insurance where they are covered services; the remainder is included in your membership fee. Additional tests that may be recommended, such as imaging, a colonoscopy, a mammogram, or advanced screening, are billed by the entity performing them to you or your insurer. The membership fee applies only to the non-covered items and services described in these Terms.

06 Insurance and billing for visits

Commercial insurance. The Practice remains in network for many plans. Office visit charges are not included in the membership fee. If your plan requires a copay, it is due at the time of visit. We bill your insurance for all covered services and prioritize in network referrals for consultations, diagnostic tests, and hospitalization.

Medicare. We submit claims to Medicare and your supplemental insurance for Medicare-covered services. The membership fee covers only Services that Medicare does not cover and is not paid or reimbursed by Medicare.

Tax treatment. The membership fee is a medical expense that may be tax deductible or eligible for Flexible Spending Account or Health Savings Account funds. Please consult your tax advisor or plan administrator.

07 Cancellation and refunds

First 90 days. You may cancel at any time during your first 90 days of membership. If you have not yet had your executive physical, the Practice refunds the membership fees you have paid in full. If you have already had your executive physical, the Practice refunds 50 percent of the membership fees you have paid, reflecting the cost of that visit and its testing.

After 90 days. Membership is annual, and membership fees for the Membership Year are due whether paid annually or in installments. Requests to end a membership before the end of a Membership Year are handled by the Practice case by case, and any refund or release from remaining installments is at the Practice's discretion.

Non-renewal. To stop your membership renewing, tell the Practice before your renewal date. Your membership and its Services continue through the end of the current Membership Year.

Termination by the Practice. The Practice may end a membership on 30 days written notice and will refund any prepaid fees for the period after termination within 30 days.

08 Practice and providers

The Practice may add or remove providers at any time. Membership entitles you to Services from the Practice and its providers generally, and not from any specific individual provider. When your provider is out of town or otherwise unavailable, the other providers at the Practice cover for them.

Care while traveling or in an emergency. For non-urgent matters while traveling, contact us first; most prescriptions can be ordered anywhere in the country, with the exception of certain controlled substances. In a life threatening emergency, call 911, then contact us so we can assist. If you are treated at an emergency room or urgent care center outside our area, ask the treating physician to call us.

09 How we communicate

The Practice communicates with members by phone during office hours and by text. Member calls and texts run on Spruce, a HIPAA compliant messaging and calling platform, in addition to the office line. You receive Spruce setup instructions when you join. Use Spruce for questions, scheduling, refills, and non-urgent matters; we typically respond within a few hours on business days. For urgent matters during office hours, call the office. For urgent medical matters outside office hours, call or text through Spruce. For emergencies, call 911.

The Practice may also contact you by email, text, or phone about membership, enrollment, invoices, payments, and appointments, using the contact details on file. Email is not encrypted, so please keep sensitive information out of it and do not use it for time sensitive requests. You understand the limits of these channels and accept those risks, and the Practice may include such communications in your medical record. The patient portal (athena) remains available for visit summaries, lab results, and records.

The Practice's privacy practices, and each member's elections regarding medical records and health information exchange, are addressed in separate documents provided by the Practice and are not altered by these Terms.

10 Good Faith Estimate, No Surprises Act disclosure

Federal law requires health care providers to give patients who are uninsured, or who are not using insurance, an estimate of charges for medical items and services.

Service. Non-covered membership Services described in Section 04. No diagnosis or service code applies. Estimated charge. The membership fee of $3,600 per adult and $1,000 per dependent under age 26, per year, per Section 02. Length of services. Twelve months from the Start Date, renewing annually unless not renewed. Right to dispute. If you receive a bill for more than this estimate, you may dispute it. Contact the Practice directly, or start the federal dispute resolution process within 120 calendar days of the bill date at cms.gov/nosurprises/consumers or 1-800-985-3059 ($25 fee). The Practice may not send a disputed bill to collections, charge late fees, or take retaliatory action while the dispute is pending.

11 Dispute resolution

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the membership fee, or the Services, including the validity or scope of this Section, will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect. The arbitration will take place in Fairfax County, Virginia, or by video conference if you prefer. The Federal Arbitration Act governs this Section. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver. You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court, not in arbitration, and this Section will apply to all remaining claims.

Exceptions. Either party may bring an individual claim in small claims court. This Section does not apply to claims of medical malpractice or professional negligence.

Opt out. You may opt out of this Section by sending written notice to the Practice within 30 days of accepting these Terms. Opting out does not affect any other part of these Terms.
